Terms of Service
These Terms govern use of the BiteBuddy Business website and describe general terms for BiteBuddy restaurant services. An executed restaurant agreement controls if it conflicts with these Terms.
1. About These Terms
These Terms of Service (“Terms”) govern access to and use of the BiteBuddy Business website and describe general terms applicable to BiteBuddy restaurant services.
BiteBuddy is operated by Whitespace Studio LLP (“BiteBuddy,” “we,” “us,” or “our”), based in British Columbia, Canada.
By using business.bitebuddy.ca, you agree to these Terms as they relate to use of the website.
Submitting an inquiry or booking a consultation does not by itself enter you into a paid restaurant services agreement.
If a restaurant begins a Free Trial or paid BiteBuddy service, additional written terms, onboarding documents, proposals, order forms, or restaurant service agreements may apply.
If an executed restaurant agreement conflicts with these general Terms, the executed restaurant agreement will control with respect to the applicable restaurant service.
2. BiteBuddy Services
BiteBuddy provides managed restaurant technology services designed to help independent restaurants operate a direct ordering and customer-retention channel.
Depending on the selected service, BiteBuddy may provide:
- direct online ordering;
- menu setup;
- restaurant ordering pages or a simple website;
- tablet and printer equipment;
- installation and testing;
- in-person onboarding;
- payment options;
- promotions and coupons;
- loyalty tools;
- email marketing;
- limited SMS functionality;
- automated customer follow-up; and
- local support.
The current service is designed primarily as an additional direct ordering and retention channel. It is not represented as a full replacement for every restaurant POS system, card terminal, cash drawer, marketplace, or other restaurant operating system. This follows the current BiteBuddy positioning and product scope.
3. Consultations and Service Availability
Submitting an inquiry or booking a consultation does not require either you or BiteBuddy to enter into a business relationship.
We may review factors such as:
- restaurant location;
- menu complexity;
- equipment requirements;
- anticipated traffic;
- expected order volume;
- support requirements; and
- technical compatibility
before confirming service availability or pricing.
BiteBuddy currently focuses primarily on Metro Vancouver, British Columbia.
4. One-Month Free Trial
Eligible restaurants may be offered a one-month Free Trial.
The current Free Trial may include:
- direct online ordering;
- menu and account setup;
- in-person installation and onboarding;
- tablet and printer loan;
- online payment capability; and
- pay-at-pickup capability.
The current Free Trial does not include every feature available under paid services. The current product definition excludes the simple restaurant website, promotions, and coupons from the standard Free Trial unless BiteBuddy agrees otherwise in writing.
Before the trial ends
BiteBuddy will normally contact the restaurant before the end of the trial to discuss whether the restaurant would like to:
- continue with a paid BiteBuddy service; or
- end the service.
There is no automatic paid conversion solely because the Free Trial expires unless the restaurant has separately agreed to paid service.
If BiteBuddy and the restaurant agree on a specific termination date, service may continue until that agreed date.
If no separate termination date or paid conversion is agreed, BiteBuddy may end the trial on the date falling one month after the trial start date.
5. Equipment During and After the Free Trial
Tablets, printers, and other equipment supplied on loan remain the property of BiteBuddy or Whitespace Studio LLP unless otherwise agreed in writing.
If a Free Trial or paid service ends, BiteBuddy will arrange to retrieve loaned equipment.
Equipment collection
BiteBuddy will normally visit the restaurant to collect loaned equipment within 14 days after the service termination date.
There is no separate equipment collection fee for normal collection within the supported service area.
Restaurants must make the equipment reasonably available for collection.
6. Equipment Loss or Damage
Restaurants are expected to take reasonable care of loaned BiteBuddy equipment.
Normal wear resulting from reasonable restaurant use is not considered damage.
If loaned equipment is lost, not returned, or damaged beyond reasonable wear and tear, BiteBuddy may charge the restaurant based on the following current replacement values:
- Tablet: CAD $120
- Thermal printer: CAD $100
Applicable taxes may be added where required.
If the applicable replacement cost changes materially in the future, the amount applicable to an existing restaurant will be governed by its current written service or equipment terms rather than being changed retroactively solely through this website.
7. Paid Service and Monthly Renewal
Unless another arrangement is agreed in writing, paid BiteBuddy services operate on a month-to-month basis.
There is no standard long-term fixed contract term.
Paid service generally renews each month until either the restaurant or BiteBuddy ends the service in accordance with the applicable agreement and these Terms.
8. Cancellation
A restaurant wishing to end a month-to-month paid service must provide BiteBuddy with at least one month’s notice.
Written notice may be provided through the contact method stated in the restaurant agreement or by contacting:
The restaurant remains responsible for applicable service fees through the effective termination date.
Any restaurant-specific billing adjustment, credit, refund, or final invoice will be handled according to the applicable written agreement and amounts actually owed.
Loaned equipment remains subject to the return provisions described above.
9. Pricing
Prices displayed on the BiteBuddy website are reference or starting prices, not guaranteed quotations for every restaurant.
Current public pricing may include:
- Monthly service starting from CAD $49 per month; and
- Order-based pricing of up to 4% of applicable direct-order volume.
The final price may vary based on factors such as:
- website traffic;
- direct-order volume;
- monthly order count;
- number of restaurant locations;
- menu or operational complexity;
- support requirements;
- equipment needs; and
- other agreed service requirements.
The current internal pricing architecture likewise treats CA$49/month and up-to-4% order-based pricing as starting/reference rates that can vary with operating needs and volume.
Applicable taxes are additional.
Unless expressly stated otherwise, payment-processing fees are also separate from BiteBuddy platform or service fees.
10. Payment Processing
Where online card payments are enabled, payment processing may be provided through a third-party payment processor supported by BiteBuddy.
Processor fees, merchant-account requirements, settlement timing, chargebacks, refunds, reserves, and other payment-processing conditions may be governed by the payment processor’s own terms.
BiteBuddy platform pricing does not include third-party card-processing fees unless specifically stated in writing.
Pay-at-pickup may also be available depending on the restaurant configuration.
11. Restaurant Responsibilities
Restaurants remain responsible for their own business and restaurant operations, including:
- licences and permits;
- food preparation and safety;
- menu accuracy;
- item availability;
- prices;
- taxes;
- staffing;
- customer service;
- refund and cancellation decisions;
- regulatory compliance; and
- restaurant-specific policies.
Restaurants must provide BiteBuddy with reasonably accurate menu, price, operating-hour, tax, location, and other information necessary to provide the service.
12. Restaurant Content
Restaurants remain responsible for materials they provide to BiteBuddy, including:
- restaurant names;
- logos;
- photographs;
- menus;
- descriptions;
- trademarks; and
- other business content.
By providing these materials for BiteBuddy services, the restaurant authorizes BiteBuddy to use, reproduce, format, and display them as reasonably necessary to provide the requested services.
The restaurant represents that it has the necessary rights to provide and authorize such use of those materials.
13. Marketing, Loyalty and Customer Communications
Depending on service scope, BiteBuddy may provide:
- promotions;
- coupons;
- loyalty;
- email campaigns;
- automated email follow-up; and
- SMS tools.
SMS is currently a limited-availability service and may not be available to every restaurant or every use case.
Restaurants using marketing tools are responsible for ensuring that their communications and use of customer information comply with applicable law.
BiteBuddy may provide technical mechanisms for consent records, unsubscribe processing, customer preferences, and campaign delivery, but those technical tools do not remove a restaurant’s own legal obligations.
CASL generally requires commercial electronic messages to have an applicable consent basis, identify the sender and provide contact information, and include a functioning unsubscribe mechanism. (CRTC)
14. Third-Party Services
BiteBuddy may rely on third-party services for functions such as:
- payment processing;
- cloud hosting;
- authentication;
- email delivery;
- SMS delivery;
- scheduling;
- analytics;
- mapping;
- security; and
- infrastructure.
Use of those services may also be subject to third-party terms or policies.
BiteBuddy is not responsible for outages, changes, restrictions, or failures caused solely by a third-party provider outside BiteBuddy’s reasonable control, subject to applicable law and any contrary term in a restaurant agreement.
15. Support and On-Site Service
BiteBuddy provides local setup and operational support as part of its managed-service model. The current Business plan emphasizes in-person onboarding, equipment setup and practical Metro Vancouver support.
Exact:
- support hours;
- response times;
- emergency support availability;
- installation schedules;
- travel availability; and
- special on-site requirements
may vary by restaurant and service scope.
Unless expressly included in a written agreement, nothing on the Business website constitutes a guaranteed service-level agreement or guaranteed response time.
16. No Guaranteed Business Results
BiteBuddy provides restaurant technology, setup, marketing tools, and operational support.
We do not guarantee:
- increased revenue;
- a specific number of orders;
- a specific repeat-order rate;
- reduced marketplace usage;
- a specific amount of commission savings;
- customer acquisition;
- profitability; or
- any other particular business result.
Actual results depend on restaurant operations, location, customer demand, pricing, menus, marketing, competition, service quality, and other factors outside BiteBuddy’s control.
This is also consistent with BiteBuddy’s current policy not to publish unsupported ROI or performance claims.
17. Intellectual Property
The BiteBuddy software, platform, website, documentation, visual designs, trademarks, branding, and BiteBuddy-created materials are owned by Whitespace Studio LLP or applicable licensors.
Except where allowed by law or expressly agreed in writing, users may not:
- copy or redistribute proprietary BiteBuddy software;
- reverse engineer or attempt to obtain source code;
- interfere with platform security;
- use BiteBuddy branding without authorization; or
- commercially exploit BiteBuddy materials outside the agreed service.
Restaurants retain their rights in their own restaurant content.
18. Website Information
We make reasonable efforts to keep information on business.bitebuddy.ca current and accurate.
However, public website content is general information and may not reflect every restaurant-specific configuration or negotiated service term.
Features, pricing, supported integrations, or service availability may change from time to time.
A restaurant-specific written agreement takes priority over general website descriptions where the two differ.
19. Privacy
Our collection and handling of personal information through the Business website are described in the BiteBuddy Business Privacy Policy.
Additional policies may apply to restaurant customers, end-user ordering accounts, loyalty programs, restaurant-management applications, and other BiteBuddy services.
20. Disclaimer
To the fullest extent permitted by applicable law, the Business website is provided on an “as available” basis.
We do not warrant that the public website will always be uninterrupted or error-free.
Information on the website does not constitute legal, accounting, tax, financial, or regulatory advice.
21. Limitation of Liability for Website Use
To the fullest extent permitted by applicable law, Whitespace Studio LLP and BiteBuddy will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or reliance on the public Business website.
Liability relating to paid restaurant services, equipment, payments, orders, or other commercial services will be governed by the applicable restaurant agreement and applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded.
22. Changes to These Terms
We may update these Terms as our website, services, pricing structure, or legal obligations change.
Changes will be posted with an updated effective date.
Changes to a signed restaurant agreement will not be made solely by changing these website Terms where the signed agreement requires a different amendment process.
23. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.
Subject to any different dispute-resolution provision in a restaurant agreement, disputes concerning these Terms will be subject to the courts of British Columbia.
